Investor Relations Policy

Purpose

iWOW Technology (iWOW or the Company) is committed to keeping both individual and institutional Shareholders, as well as the investor community at large, well informed of all major developments affecting the state of affairs of the Company.

This policy aims to ensure that Shareholders and the investor community at large are provided with timely and equal access to balanced and clear information about iWOW (including its strategies, businesses, financial performance, governance, and material developments) to enable two-way communication between them and the Company. Importantly, enabling access to such information will allow Shareholders and the investor community at large to exercise their rights in an informed manner.

In this Policy, references to the investor community include iWOW’s potential investors as well as sell-side research analysts reporting on and analysing iWOW’s performance.

General

At all times, the Company is committed to making timely, full, and accurate disclosures in accordance with the relevant regulations. This includes distributing other corporate communication materials to Shareholders and the investor community.

  1. All disclosures submitted to the Singapore Exchange Securities Trading Limited (“SGX-ST”) through SGXNET are also available on the Company’s corporate website.
  2. This Policy is subject to regular review by the Company to ensure its effectiveness. Updates and amendments (as appropriate) will be made to reflect current best practices in our communication with Shareholders and the investment community.

Note: Other corporate communication materials refers to any document issued or to be issued by the Company for the information or action of its Shareholders, including, but not limited to, the annual report, a notice of meeting, a circular and a proxy form.

Shareholders Rights

  1. The Company is committed to treating all Shareholders fairly and equitably.
  2. Shareholders are entitled to participate in and vote at company general meetings. Shareholders are also informed of the rules, including voting procedures, that govern general meetings of the Company.

Communications Principles

  1. The Company strives to provide pertinent and accurate information to its Shareholders and the investment community in an effective and timely manner.
  2. The Company uses clear and plain language in its communication with its Shareholders.
  3. The Company endeavours to provide a consistent level of disclosure on both positive and negative developments of the Company.
  4. The Company communicates only through its designated spokespersons.
  5. The Company and designated spokespersons will establish and maintain regular dialogue with Shareholders to solicit and understand the views of the Shareholders through analyst and media briefings, investor roadshows or investor briefings.
  6. The Company does not respond to rumours. However, if rumours indicate that material information has been leaked or they are, in fact, false or inaccurate, the rumours will be promptly denied or clarified via announcements made through SGXNET to SGX-ST.
  7. The Company will give reasonable access to analysts and the media to help them formulate informed opinions of the Company but will not seek to influence those opinions.
  8. The Company observes a prescribed ‘blackout period’ prior to the announcement of its financial results. During this period, the Company does not comment on the industry outlook, the Group’s business performance, or financial results unless such information has already been publicly disclosed.

 Communication Strategies

The Company actively engages its Shareholders and the investment community via:

  1. Annual General Meeting (“AGM”) and Extraordinary General Meeting (“EGM”) if necessary;
  2. Quarterly results presentation slides and financial results announced via SGXNET to SGX-ST and posted on the Company’s corporate website;
  3. Half-yearly media and analyst briefings for half-year and full-year financial results;
  4. One-on-one/group meetings or conference calls, investor luncheons, local/overseas roadshows and conferences;
  5. Site visits;
  6. Annual reports;
  7. News releases and statements;
  8. Notices of and explanatory memoranda for AGMs and EGMs; and
  9. Corporate website (https://iwow.com.sg/)

Investor Communications

  1. The Company will meet with investors, the media, and analysts at appropriate times and participate in investor roadshows and sector conferences throughout the year.
  2. Upon the release of half-year and full-year financial results, the Company will hold media and analyst briefings.

Shareholder Meetings

  1. The Company’s AGMs are the principal communication channel with Shareholders.
  2. All Shareholders are sent a copy of the Company’s summary report with notice of the AGM prior to the AGM. As and when an EGM of the Shareholders is to be held, each Shareholder will be sent a copy of a circular with notice of EGM which contains details of the matters to be proposed for Shareholders’ consideration.
  3. Notices for the general meetings setting out all items of business to be transacted at the general meeting are also announced via SGXNET to SGX-ST.
  4. Members of the Board, the Company’s senior management, and the Company’s external auditors are in attendance at all general meetings to address shareholders’ queries. Shareholders are given the opportunity to communicate their views on various matters affecting the Company. A Shareholder is allowed to appoint up to two proxies to attend and vote at the general meetings in his/her stead. In the case of corporations which provide nominee or custodial services, they may appoint more than two proxies so that Shareholders who hold shares through such corporations can attend and participate in general meetings as proxies, in accordance with the prevailing laws.
  5. The Company supports voting by poll at all general meetings, and the poll results are announced via SGXNET to SGX-ST on the same day of each Shareholder Meeting.
